These terms govern the relationship between SYNTAX GROUP LLC ("SYNTAX") and any client or prospective client who engages our services. By signing a statement of work or paying an invoice, you agree to these terms. We wrote them to be readable, not to bury anything.
SYNTAX builds custom AI workflow automation systems for client operations. Every engagement starts with a discovery process and is fully scoped in writing before any build work begins. The scope document defines what we are building, what it connects to, and what "done" looks like.
We do not sell software licenses or generic platforms. What you get is a system built specifically for how your business operates, deployed to your environment, and handed off with documentation your team can actually use.
Invoices are due within 15 days of issuance unless otherwise specified in your statement of work. Retainer engagements (Starter, Growth, or Scale tiers) are billed monthly and renew automatically unless cancelled per the notice terms below.
If an invoice goes more than 30 days past due without communication, SYNTAX reserves the right to pause active work until the account is current. We will always reach out before doing this. Late fees may apply at 1.5% per month on balances 30 or more days overdue.
To cancel a monthly retainer, written notice is required at least 30 days before the next billing date. Cancellations received after that window take effect the following month.
You own everything custom-built for your business. That includes the automations, the prompts, the workflows, the integrations, and any documentation we produce as part of your engagement. Once your project is paid in full, those assets are yours outright.
SYNTAX retains ownership of the underlying methodology, frameworks, templates, and tooling we use to build and operate systems. We also retain the right to continue working with other clients in your industry unless a specific exclusivity arrangement has been agreed to in writing.
Both parties agree to treat the other's operational information as confidential. That means we will not share what we learn about your business, your processes, your team, or your technology stack with anyone outside of SYNTAX without your permission.
We ask the same in return: our internal methods, pricing structures, and system architecture are confidential and should not be shared or reproduced without our consent.
SYNTAX does not sell, rent, or disclose client information to any third party for any reason. Full stop.
SYNTAX does not store your operational data beyond what is strictly necessary to build and maintain your system. Any data accessed during the build process is handled with care and deleted when it is no longer needed for the project.

SYNTAX's total liability for any claim arising out of our work is capped at the fees you paid in the 90 days prior to the claim. We are not liable for lost profits, lost data, business interruption, or any consequential, indirect, or incidental damages, even if we were advised they were possible.
This limitation does not apply in cases of gross negligence, willful misconduct, or breach of the confidentiality terms above.
Either party may end the engagement with 30 days written notice. You are not locked in and there are no penalties for leaving.
If you terminate, you own all deliverables that have been completed and paid for up to that point. SYNTAX will provide a handoff document covering anything mid-build so your team or another vendor can continue the work if desired.
SYNTAX may terminate immediately and without notice if a client engages in abusive behavior toward our team, or if continued work would require us to violate applicable law.
These terms are governed by the laws of the State of Michigan. Any disputes that cannot be resolved informally will be handled in the courts of Michigan. We genuinely hope it never comes to that.
